Self-hosted file sharing for financial services

Self-hosted file sharing for banks, insurers and investment firms comes down to records retention, DORA ICT third-party obligations, encryption key control and client-document audit trails. This page sets out what to decide before choosing Nextcloud or Seafile.

Why self-hosted file sharing for financial services starts with regulation, not features

Client documents, board papers and advisory files move between staff, clients and partners under records and ICT risk rules, so the platform choice follows the obligations in scope. Nextcloud or Seafile can fit a financial firm when the firm controls the hosting location, the encryption keys and the audit logs. Which of them fits, and how far the design must go, depends on whether the firm is a broker-dealer under SEC Rule 17a-4, a payment or card-related entity under PCI DSS, an EU financial entity under DORA, or a non-bank institution under the FTC Safeguards Rule. Each of these sets different evidence requirements, so the first deliverable is a written obligations map, not a feature comparison.

Financial services differs from most other sectors because several rules reach the file layer at once. DORA, Regulation (EU) 2022/2554, has applied since 17 January 2025 to 20 types of financial entity, from credit and payment institutions to insurers, and it applies directly without national transposition. Under DORA, a self-hosted file platform is an ICT service that appears in the register of information, its contract must state where data is processed, and its exit strategy must be documented and tested if it supports a critical or important function. Before the design starts, confirm with the firm's compliance and legal teams which entity type it is and which of these articles apply to it.

DeployOpen plans, implements, hardens and documents the platform, and prepares the systems, controls and evidence that a compliance assessment will examine. DeployOpen does not issue audit reports, attestations or certifications, and neither do open-source projects or Nextcloud GmbH. Independent auditors, certification bodies and the firm's own regulators reach those conclusions. Ask a partner to show, in writing, which evidence each in-scope obligation needs, who produces it, and how often it is refreshed, so that the firm knows what it will hand to its assessors.

Which financial rules shape the file sharing build

This table maps each financial obligation in the outline to its source and to the setting it changes in a self-hosted file sharing build. Read each row as a question to answer before design: what must be kept, where it may sit, how exits work, and what evidence an assessor will ask for. Obligations that depend on your licence type, cardholder data or Swift use apply only if they fit your business.

Which financial entities face which obligations

Credit institutions, payment institutions and many insurers operating in the EU fall under DORA, Regulation (EU) 2022/2554, which has applied since 17 January 2025. For file sharing, DORA turns the platform into an ICT service that must be documented, governed and exitable. Client documents hosted by a provider, including a self-hosted platform run by an implementation partner, feed into the contractual register and the exit planning that DORA requires.

  • Register of information: Article 28(3) expects the platform, its hosting provider and its support partner to appear in the register of ICT contractual arrangements.
  • Location and data return: Article 30(2) requires contracts to state where data is processed and to cover data return on termination or insolvency.
  • Exit strategy: Article 28(8) asks for tested exit plans where the service supports critical or important functions, so the export path from Nextcloud must be exercised, not just described.
  • Penetration testing: DORA's threat-led testing rules are a separate track from routine application testing, and their scope is set by the authority.
  • Swift users: Institutions connected to Swift also face the Customer Security Controls Framework, which has 32 controls.

Confirm with your supervisor and counsel whether your entity is in DORA scope and which functions your file sharing supports as critical or important.

What client data flows through file sharing in a financial firm

The main document classes in a bank, insurer or investment firm are KYC and onboarding packs, loan files, policy documents, claims evidence, research and deal material, and client statements. Each class has a different owner, retention period and sharing pattern. KYC packs hold identity documents and beneficial ownership records that move between onboarding staff, compliance and sometimes outside advisers. Loan files pass between relationship managers, credit committees and document custodians. Claims evidence arrives from policyholders and third parties and must stay unchanged once logged. Research and deal material is often restricted by information barriers, while client statements are generated by core systems and sent to customers. Before you design folders, ask each business owner which of these classes they hold, who creates them, and which system is the source of record. These files rarely stay inside the file sharing platform. Core banking and policy administration systems export statements and reports into shared folders. CRM records link to documents by reference, so a deleted file can break a client workflow. Email archiving holds copies of attachments that were also saved to shares, which matters for the three-year preservation period that SEC Rule 17a-4(b)(4) sets for broker-dealer communications. Identity provider groups decide who sees each folder, so directory changes flow straight into file access. Confirm with your architects whether the Nextcloud LDAP app, OpenID Connect or SAML backends will be the login path, and whether DLP inspection runs on uploads, downloads or both. Classification and tagging decide which folders get stricter retention, external sharing limits and encryption. A tag such as client-restricted or cardholder-adjacent should drive policy, not just labeling, so that a KYC folder blocks public link creation while a research folder keeps version history for longer. Cardholder data and Swift-related material need particular attention. If a file contains a primary account number, PCI DSS applies to any system that stores it, so those files should be excluded from general shares or moved into a segmented area. Swift operator credentials and transaction exports fall under the Customer Security Controls Framework, so they belong in a restricted space with its own logging. Ask your compliance team to map each class to a tag before go-live.

Which open-source platforms fit a financial services file share

Financial services firms usually narrow the field to a few file sync and share platforms, then test each against retention, key control and identity requirements. The cards below set out where each option fits, what it costs in support and maintenance, and what to confirm before a design is approved.

Nextcloud Server community edition

Nextcloud Server is licensed under AGPL-3.0, so the software itself carries no license fee and the firm can inspect and modify it. The trade-off is that support, patching discipline and upgrade planning fall to the internal team or the implementation partner. For a regulated file share, confirm which server-side encryption modes, retention rules and audit log events meet your records policy, and test whether the DLP product you run can inspect files at the Nextcloud boundary.

Nextcloud Enterprise tiers

Nextcloud GmbH sells Enterprise as a paid offering alongside the community version, aimed at enterprise and public sector users. The tiers differ in maintenance lifecycle and support hours, so a bank or insurer should match the tier to the length of its change and vendor oversight cycle. Ask for the written support response commitments, the lifecycle end dates for each major release, and whether clustered instances are included before you sign.

Nextcloud All-in-One for smaller estates

Nextcloud All-in-One is the official installation method and bundles caching, PostgreSQL, backups with BorgBackup, ClamAV antivirus and full-text search. It suits a smaller broker, credit union or advisory firm that wants a standard footprint with fewer components to assemble. The trade-off is less room for custom clustering, key management and network segmentation, so confirm that the bundled backup targets and antivirus policy meet your retention and restore-testing requirements.

Seafile as a sync-focused option

Seafile server is released under GPLv2 with an additional permission to link with OpenSSL. Its design centers on fast sync and library-level permissions, which can suit a firm whose need is mainly moving client files between offices and advisers. The trade-off is a smaller ecosystem of apps for records, workflow and DLP integration than Nextcloud offers. Confirm its audit log detail, external sharing controls and key handling against your evidence requirements before choosing it over Nextcloud.

ONLYOFFICE Docs or Collabora Online

Browser-based editing lets staff open, comment on and co-author client documents without downloading copies to endpoints. ONLYOFFICE Docs is licensed under AGPL-3.0 and is compatible with Office Open XML formats, while Collabora Online is licensed under MPL 2.0. Editing servers process document content, so their placement, logging and access paths belong in the same data flow review as the file share. Confirm how each editor handles version history, watermarking and whether it can run inside your network without outbound calls.

How a financial firm rolls out self-hosted file sharing in phases

The sequence moves from scope and third-party obligations to a tested, governed production service, with a named output at each phase so risk, compliance and business owners can sign off before the next step starts. Each phase builds on the evidence of the one before.

  1. Define scope and the ICT arrangement register

Risk, compliance and the IT owner agree which business lines, entities and jurisdictions the service covers, and which of them handle critical or important functions. Where the firm is in DORA scope, the Nextcloud or Seafile deployment and any partner providing it are entered in the register of information on contractual arrangements for ICT services. Output: a signed scope statement and a draft register entry, which show the contract terms covering data location, notice of changes and data return are in the partner agreement before any data moves.

  2. Classify data and map retention obligations

Data owners classify client documents, regulatory correspondence and internal records, then map each class to its retention period under the rules that apply to the firm, such as SEC Rule 17a-4(b)(4) for broker-dealer communications, which requires preservation for not less than three years. Legal confirms whether any cardholder data, which falls under PCI DSS, enters the platform, since that changes the scope of assessment. Output: a retention matrix tying each folder class to a retention rule, a legal hold process and a deletion owner. Confirm the exact periods with your counsel.

  3. Design hosting, encryption and key control

The architecture team selects the hosting location, database and storage layout, and the encryption model, deciding who holds encryption keys and whether administrators can read stored content. This decision sets the audit boundary and the evidence needed for DORA Article 30 location clauses. Test the chosen model against search, web editing and recovery needs before it is fixed. Output: an approved architecture record with a key custody statement, a data location statement and a list of the supported Nextcloud versions and database engines, checked against the vendor's current system requirements.

  4. Integrate identity, MFA and DLP tooling

The identity team connects the platform to the existing directory through LDAP, OpenID Connect or SAML, enforces multi-factor authentication for every user, and aligns sharing rules with the firm's data loss prevention tooling. Where the FTC Safeguards Rule applies, MFA is required for any individual accessing an information system unless the Qualified Individual approves an equivalent control in writing. Output: a tested login matrix covering staff, admins and service accounts, plus a DLP policy test record showing which share or download actions are blocked or logged.

  5. Pilot with one business line

One business line with a defined document workload runs the platform for a fixed period agreed in advance, using real but non-critical folders and documented sharing rules for external clients. The pilot checks sync client behavior, external link controls, audit log completeness and the support path. Operational owners record defects and decide go or no-go against written criteria. Output: a pilot report with defect log, audit log samples reviewed by compliance and a signed decision to proceed or to correct specific gaps.

  6. Migrate existing shares in controlled waves

Existing file servers and cloud drives are inventoried, permissions are mapped to groups rather than copied user by user, and content moves in waves by business line with a freeze window for each. Records that must be preserved are checked against the retention matrix before source copies are retired. Output: a migration log per wave with item counts, permission reconciliation results and sign-off from each data owner, and a decommissioning record for every retired share.

  7. Test exit and restore

The team runs a documented restore from backup into an isolated environment and checks file integrity, permissions and audit history. It also rehearses the exit plan, including how data would be extracted and moved to an alternative provider, as DORA Article 28(8) expects for services supporting critical or important functions. Results feed the business continuity plan. Output: a restore test record with timings and any exceptions, and an exit plan document with named owners, data formats and steps, reviewed by the risk function.

  8. Run governance and ongoing evidence

Once live, the service moves to a governance cycle with a named service owner, a change board for upgrades, access recertification and periodic review of the register and retention matrix. Upgrades follow one major version at a time with backups before each step, and the firm keeps evidence for IT general control areas such as access, program change and computer operations. Output: a run book, a quarterly access review record, an upgrade change log and an evidence index that auditors can sample.

What auditors and regulators ask to see from the file share

This table maps each evidence item an assessor or supervisor is likely to request for a self-hosted file share to the Nextcloud component or operating record that produces it. Read it as a preparation list: DeployOpen prepares and organizes this evidence, while independent auditors, certification bodies and supervisors decide whether it is sufficient. Confirm each requirement against your own regulator's expectations and your auditor's test plan before you rely on it.

Questions financial firms ask before buying self-hosted file sharing help

What drives the cost of self-hosted file sharing for a financial firm?

The cost is driven mainly by edition, user count, storage volume, integration scope and migration effort. Nextcloud Server is free under AGPL-3.0, but a firm still pays for infrastructure, database and storage, implementation, integration with identity and DLP tools, and ongoing administration. Nextcloud Enterprise adds a paid subscription, sold in Standard, Premium and Ultimate tiers with a 100-user minimum, with list prices starting at 71.29 euros, 104.99 euros and 204.75 euros per user per year respectively for 100 or more users, according to Nextcloud's pricing page. Those subscription costs recur annually, while implementation is usually one-time. Ask any partner for a quote that separates these components and states which costs recur.

How long does a self-hosted file sharing rollout take in a regulated firm?

Duration depends on scope, not on the software alone: the number of identity sources, the volume of legacy shares or cloud drives to migrate, how many integrations with DLP and archiving are required, and how many approval gates the firm runs. A pilot covering one business unit with a single directory is much shorter than a firm-wide rollout with records retention and external sharing controls. Your partner should provide a written timeline tied to a fixed scope before work starts. Confirm the change windows your operations team allows, since upgrades must be scheduled around them.

What must our firm supply before an implementation partner starts work?

The firm must supply decisions that only it can make: a document classification scheme, retention rules tied to the records obligations that apply to its business (for example, the three-year preservation period for broker-dealer communications under SEC Rule 17a-4), named owners for each directory or identity source, and approved change windows. It should also name who approves external sharing, which guest accounts are allowed, and which DLP and SIEM systems must receive audit events. Missing answers on these points are the most common reason fixed-scope projects slip, so resolve them in the scoping phase.

Can our internal IT team run self-hosted file sharing without a partner?

Many internal teams can operate Nextcloud once it is built, but the first deployment, clustering, backup and restore design, and each major upgrade require skills that are often scarce. Nextcloud publishes a new major version every four months and supports each for one year, and it does not allow skipping major releases, so administrators must upgrade one major version at a time, back up before each upgrade and disable third-party apps until they are confirmed compatible. Assess whether your team can meet that cadence, staff on-call coverage and perform restore tests. A partner can cover build, hardening, upgrades and documentation under a retainer or fixed-scope agreement.

What does DORA require in the contract and exit plan for a file sharing provider?

DORA, Regulation (EU) 2022/2554, applies to in-scope financial entities since 17 January 2025, and it requires a register of information on all ICT contractual arrangements. Article 30(2) requires each ICT services contract to state where services are provided and data processed, to give advance notice of changes, and to cover data return on insolvency or termination. Article 28(8) requires documented, tested exit strategies for ICT services that support critical or important functions. Where the file platform is a self-hosted component, you control data location, but the contract with any implementation partner still needs these terms. Have legal and your ICT third-party risk team confirm the clauses against the regulation text.

Do Nextcloud support tiers satisfy regulator expectations?

No support tier is a regulatory certification, and DORA sets no certification scheme, so a tier cannot by itself meet an examiner's expectations. What a tier provides is contractual support: Standard includes one year of maintenance, Premium adds a maintenance lifecycle of five or more years and clustered instance support, and Ultimate adds support up to 24/7 with response times down to one hour, according to Nextcloud's pricing page. Compare these against your recovery objectives and the Nextcloud release dates. For example, Nextcloud 33 is supported until February 2027 and Nextcloud 34 until June 2027, so plan upgrades before end of life. Confirm the tier terms in writing with the vendor.

Does the partner provide compliance certificates or audit reports?

No. DeployOpen prepares systems, controls and evidence for compliance assessments, but it does not issue audit reports, attestations or certifications, which independent auditors and certification bodies provide. In practice, the evidence package covers configuration baselines, access control design, audit logging, backup and restore test records, and change records for upgrades. Ask any partner which evidence it hands over, in what format, and how it maps to the controls your assessor will test.

What to ask an implementation partner before signing a fixed-scope contract

Start with the paperwork a DORA assessment will ask for. Ask the partner how they will deliver the inputs your register of information needs under Article 28(3), including the provider name, service description, locations where services are provided and data is processed, and the subcontracting chain. Then ask for the exit inputs under Article 28(8): a documented, tested exit strategy and transition plan for the file platform if it supports a critical or important function. Ask who writes these documents, who owns them after handover, and whether the contract will restate the Article 30(2) terms on data location, advance notice of changes and data return on termination. Confirm in writing that the partner will produce these as deliverables, not as a discussion topic.

Ask how upgrades will be sequenced. Nextcloud does not allow skipping major releases, so the partner should show the upgrade path from your current version to the target, one major version at a time, with a backup taken before every step and third-party apps disabled until confirmed compatible, as the Nextcloud upgrade manual requires. Ask how they will test restores, not just take backups: which restore targets they will exercise, how often, and whether they will document the results as evidence. For keys and administrator access, ask who holds the server-side encryption master key, where it is stored, who can rotate it, and how break-glass accounts are created, logged and reviewed. Ask what the partner will not do: they will not issue audit reports, attestations or certifications, and they will not hold your administrator credentials after handover unless you agree to it in writing.
